Terms of Service

By accessing or using the RegNexia AI platform, website, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Services.

RegNexia AI provides an AI-powered regulatory intelligence platform that monitors global regulatory authorities, detects changes to guidance documents and policy publications, and delivers alerts and summaries to life sciences professionals.

The Services include the web-based platform, API access (where applicable), email alerts, and any related features or functionality made available to you under your subscription.

To use the Services, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify us immediately at support@regnexia.ai if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

Accounts may not be shared between individuals unless expressly authorized under an enterprise agreement.

Access to the Services requires a paid subscription. Subscription fees are billed in advance on an annual basis (or as otherwise agreed in your order). All fees are non-refundable except as expressly stated herein or required by applicable law.

We reserve the right to change our pricing with 30 days' notice. Price changes will not apply to the current subscription term.

Failure to pay fees may result in suspension or termination of your access to the Services.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

- Use the Services to infringe any third-party intellectual property rights

- Attempt to gain unauthorized access to any part of the Services or related systems

- Reverse-engineer, decompile, or disassemble any component of the Services

- Use automated tools to scrape, extract, or harvest data from the Services except through authorized API access

- Resell, sublicense, or provide access to the Services to third parties without our prior written consent

- Use the Services in a manner that could damage, disable, or impair the platform

- Upload or transmit malicious code or conduct security attacks of any kind

RegNexia and its licensors retain all intellectual property rights in the Services, including all software, AI models, designs, trademarks, and content we create or provide.

Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the subscription term.

You retain ownership of any data, configurations, and content you create within the platform. By using the Services, you grant RegNexia a limited license to process that content solely to provide the Services to you.

Your use of the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the collection and use of information as described in our Privacy Policy.

For enterprise customers, data processing is further governed by a Data Processing Agreement (DPA) entered into as part of the enterprise subscription agreement.

The Services are provided "as is" and "as available." RegNexia makes no warranty that:

- The Services will meet your specific requirements

- The Services will be uninterrupted, timely, or error-free

- Information provided through the Services (including AI-generated summaries) is complete, accurate, or suitable for regulatory decision-making

Regulatory intelligence provided by RegNexia AI is intended to supplement — not replace — the professional judgment of qualified regulatory affairs personnel. You are solely responsible for any regulatory decisions made based on information from the platform.

To the maximum extent permitted by applicable law, RegNexia shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services.

RegNexia's total liability for any claims arising under these Terms shall not exceed the fees paid by you to RegNexia in the twelve months preceding the claim.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability will be limited to the maximum extent permitted by law.

Either party may terminate the subscription at the end of the then-current subscription term by providing written notice before the renewal date.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees, or if required by law. Upon termination, your right to access the Services ceases. You may export your data within 30 days of termination.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, and governing law.

These Terms are governed by applicable law. Any disputes arising from these Terms or your use of the Services will be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable. The rest of the Terms will remain in full effect.

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice in the platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
